These Terms and Conditions (“Terms”) govern your use of the London Latino Film Festival website, ticketing services, film Submission services, events, screenings, workshops, talks, receptions, awards, competitions and other activities organised or presented by LoLaFF. By using our Website, purchasing a Ticket, making a Submission, registering for an event, or attending a Festival activity, you agree to these Terms in accordance with clause 2.3 (How a Contract is Formed). If you do not agree with these Terms, please do not use our Website, purchase Tickets, make a Submission or attend Festival activities.

1. Definitions and Interpretation

1.1 In these Terms, unless the context requires otherwise, the following words have the following meanings:

  • “Agreement” or “Terms” means these Terms and Conditions, together with any event-specific terms, Ticket terms, Submission rules and Additional Terms referred to in them, and our Privacy Policy.
  • “Additional Terms” has the meaning given in clause 2.2.
  • “Content” means any text, image, video, audio, data or other material made available on or through the Website or other Festival platforms, including Festival Content and User Content.
  • “Festival” means the London Latino Film Festival and any associated events, screenings, workshops, talks, receptions, competitions, awards and other activities organised or presented by LoLaFF, whether under that name or a successor name.
  • “Festival Content” means Content owned by or licensed to LoLaFF, excluding User Content and Submissions.
  • “LoLaFF”, “we”, “us” and “our” means the organiser of the Festival identified in clause 2.1 and, where the context permits, its officers, employees, volunteers and authorised contractors acting on its behalf.
  • “Protected Party” has the meaning given in clause 8.2.
  • “Privacy Policy” means our published privacy notice, as updated from time to time.
  • “Selected Film” means a film accepted into the official Festival programme following a Submission.
  • “Submission” means a film, together with any accompanying materials and information, submitted to the Festival for consideration under clause 15.
  • “Ticket” means a ticket, pass, accreditation or other form of admission to a Festival event, however issued.
  • “User Content” means comments, reviews, posts, competition entries or other material, other than a Submission, that you upload, post or otherwise make available on a Festival platform.
  • “Website” means [INSERT WEBSITE URL] and any associated mobile site, app, booking platform or online Submission portal operated by or for LoLaFF.
  • “Working Day” means a day other than a Saturday, Sunday or public holiday in England.
  • “Writing” includes email and other electronic communication, unless stated otherwise.
  • “you” and “your” means any person accessing the Website, purchasing or holding a Ticket, making a Submission, attending or participating in a Festival activity, or otherwise engaging with the Festival.

1.2 In these Terms:

  • headings are for convenience only and do not affect interpretation;
  • a reference to “including”, “such as” or similar words is illustrative and does not limit the general words that come before it;
  • the singular includes the plural and vice versa, and a reference to one gender includes every gender;
  • a reference to a statute, regulation or other legislation includes any amendment, re-enactment or replacement of it from time to time; and
  • if there is any conflict between these Terms and Additional Terms validly brought to your attention, the Additional Terms prevail to the extent of the conflict and to the extent they relate specifically to the relevant event, Ticket, competition, Submission or platform, unless they purport to remove a right that cannot lawfully be removed, in which case these Terms prevail to that extent.

2. Who We Are; Contract Formation and Capacity

2.1 The Festival is organised by London Latino Film Festival CIC, a company registered in England and Wales under company number 16765401, whose registered office is at 71-75 Shelton Street, London, England, WC2H 9JQ

(“LoLaFF”). Our contact details are set out in clause 41 (Contact).

2.2 The Festival may be delivered by LoLaFF directly or in partnership with cinemas, theatres, cultural organisations, educational institutions, sponsors, funders, artists, filmmakers, distributors, suppliers, contractors and other third parties (“Festival Partners”). Different Festival activities may therefore be subject to additional terms imposed by the relevant venue, ticketing provider, Submission platform, Festival Partner or supplier (“Additional Terms”). Where Additional Terms apply, we will bring them to your attention where reasonably possible.

2.3 Browsing the Website does not, by itself, create a contract between you and LoLaFF. A binding contract on these Terms is formed only when: (a) you complete a Ticket purchase and receive a booking confirmation; (b) you complete and submit a Submission in accordance with clause 15 and it is accepted for consideration by the relevant platform; (c) you register for a free event or activity and receive a confirmation; or (d) you otherwise expressly agree to these Terms, including by ticking a box, clicking “I agree” or an equivalent action, at the point of engaging a Festival service. From that point, these Terms (together with any applicable Additional Terms) are legally binding on you and on LoLaFF.

2.4 By entering into a contract with us under clause 2.3, you confirm that you are at least 18 years old and have legal capacity to be bound by these Terms, except that a person aged 16 or 17 may purchase a Ticket or make a Submission with the consent of a parent or legal guardian, who is treated as agreeing to these Terms on that person’s behalf. Where a Ticket is purchased for, or on behalf of, another person (including a minor), the purchaser is responsible for ensuring that person, and where relevant their parent or guardian, is aware of and agrees to be bound by these Terms. See also clause 12 (Children and Young People).

3. Website and Online Services

3.1 Website availability. We aim to keep the Website and our online services available and operational, but we do not guarantee that they will always be uninterrupted, secure, error-free or available. We may temporarily suspend, restrict, modify or discontinue any part of the Website or online services for maintenance, security, technical, operational or other reasonable reasons.

3.2 Acceptable use. You must not:

  • use the Website for an unlawful or fraudulent purpose;
  • attempt to gain unauthorised access to any system, account or data;
  • interfere with the operation or security of the Website;
  • introduce viruses, malware or other harmful material;
  • scrape, copy or reproduce Website content without permission, other than as permitted by clause 14;
  • impersonate another person or organisation;
  • submit false, misleading or fraudulent information, including a fake, incentivised or undisclosed review or endorsement contrary to the Digital Markets, Competition and Consumers Act 2024;
  • use the Website to harass, threaten, abuse or harm others; or
  • use the Website in any way that may damage the reputation or operation of LoLaFF.

3.3 We may suspend or terminate your access to the Website or an account where we reasonably believe you have breached clause 3.2 or otherwise materially breached these Terms, and may take further action described in clause 11 (Behaviour, Respect and Safeguarding) or refer serious matters to the relevant authorities.

3.4 Placing an order online. Where you purchase a Ticket or make a Submission through the Website, the process will generally involve: (a) selecting the Ticket, event or Submission category; (b) providing the requested information; (c) an order summary screen on which you can review and correct input errors before you pay or submit; and (d) an electronic confirmation sent to you once your order or Submission is processed. These Terms and the order process are available in the English language only. We recommend you retain a copy of your order confirmation and these Terms for your own records, as we do not separately archive an individually accessible copy of the contract formed with you.

4. Tickets and Event Attendance

4.1 Ticket purchase. Tickets may be sold directly by LoLaFF or through an authorised third-party ticketing provider, whose Additional Terms may also apply. Tickets are valid only for the event, screening, date, time, venue and seat or admission category specified on the Ticket. You are responsible for checking your booking details before completing your purchase.

4.2 Ticket prices. The total price you must pay for a Ticket, including any mandatory booking, transaction or administration fee, will be displayed as a single all-inclusive figure before you are asked to pay, in line with the pricing transparency requirements of the Digital Markets, Competition and Consumers Act 2024. A genuinely optional charge (for example, a voluntary donation) will be clearly identified as optional and is not included in that headline price. Unless stated otherwise, displayed prices are inclusive of any applicable VAT.

4.3 Ticket confirmation. You should retain your booking confirmation and Ticket. A Ticket may be required for admission and may be presented electronically, or in another format specified by the Festival or venue.

4.4 Lost or damaged tickets. We may be unable to replace a Ticket that has been lost, stolen, duplicated or obtained fraudulently. Where reasonably possible, we may assist with Ticket verification.

4.5 Ticket resale and transfer. A Ticket may not be resold for commercial profit, or in breach of applicable law or the conditions communicated at the time of purchase. Where Ticket transfer or resale is permitted, we may impose reasonable conditions to protect attendees against fraud, unauthorised resale and misuse. Any term relating to Ticket resale is applied in accordance with applicable UK consumer and ticketing law.

4.6 Admission. LoLaFF and/or the relevant venue reserves the right to refuse admission to, or remove, a person where reasonably necessary for:

  • safety or security;
  • disruptive, threatening, abusive or discriminatory behaviour;
  • intoxication or behaviour that presents a risk to others;
  • breach of venue rules;
  • possession of prohibited items;
  • a fraudulent or invalid Ticket; or
  • another serious breach of these Terms.

Where admission is refused, or a person is removed, because of that person’s own misconduct as described above, no refund will normally be due, subject always to applicable consumer rights under clause 5.6.

5. Changes, Cancellation and Refunds

5.1 Programme changes. The Festival programme is subject to change. Films, screenings, venues, dates, times, speakers, guests, workshops, panels, performances and other activities may change due to circumstances beyond our reasonable control. We will make reasonable efforts to communicate significant changes as soon as practicable.

5.2 Event cancellation. If the Festival or an individual event is cancelled by LoLaFF, we will communicate the available options to affected Ticket holders. Depending on the circumstances, these may include: transfer to another screening or event; a replacement Ticket; a credit; or a refund where applicable. Any refund will be handled in accordance with applicable law and the terms applicable to the relevant Ticket purchase.

5.3 Postponement or rescheduling. Where an event is postponed or rescheduled, your Ticket may remain valid for the new date. Where applicable, we will communicate any available refund or transfer arrangements.

5.4 Personal circumstances. Unless otherwise stated at the time of purchase, a Ticket is not automatically refundable because of: a change of personal circumstances; travel problems; illness; inability to attend; a change of plans; accommodation or transport problems; or a failure to check the event date or time. Any refund or transfer remains subject to the applicable Ticket terms and your rights under clause 5.6.

5.5 Statutory cancellation (“cooling-off”) rights. Where you purchase a Ticket online, by phone, or otherwise at a distance, as a consumer, please note that contracts for services related to leisure activities — which includes Festival Tickets — that specify a particular date or period for performance are generally exempt from the standard 14-day cancellation right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. This means that, once you have purchased a Ticket for a specific date and time, you will not normally have a legal right to cancel simply because you change your mind. This does not affect any right you may otherwise have under this clause 5 (for example, where we cancel or materially change an event), or under clause 5.6.

5.6 Consumer rights. Nothing in these Terms is intended to exclude or restrict any right you have as a consumer under the Consumer Rights Act 2015 or other applicable law, including your right to have a service performed with reasonable care and skill. A term that purports to exclude or restrict a right that cannot lawfully be excluded will not be enforced to that extent, and the remainder of these Terms continues to apply.

6. Festival Programme and Information

We take reasonable care to ensure that Festival information is accurate and current. However, programme information may change, and we do not guarantee that:

  • every published film, guest or speaker will attend;
  • every advertised event will proceed;
  • screening times will remain unchanged;
  • venues will remain unchanged;
  • programme descriptions will be completely error-free; or
  • a particular filmmaker, actor, director or guest will be present.

We will make reasonable efforts to communicate material changes.

7. Venues and Third-Party Events

Festival events may take place at venues operated by third parties. Attendance may therefore be subject to the venue’s own terms and conditions, health and safety requirements, accessibility procedures, age restrictions, licensing requirements, security policies and reasonable instructions.

You agree to comply with the reasonable rules and instructions of the relevant venue and of Festival staff.

LoLaFF is not responsible for services independently provided by a third-party venue, except to the extent required by law. This clause 7 and clause 8 (Liability Disclaimer) are intended to benefit the relevant venue and its staff, who may rely on and enforce them as set out in clause 35 (Third Party Rights).

8. Liability Disclaimer – Festival Attendance

8.1 Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence, or that of our employees, agents or contractors; (b) fraud or fraudulent misrepresentation; (c) breach of the terms implied by section 49 of the Consumer Rights Act 2015 (services to be performed with reasonable care and skill), to the extent that provision applies and cannot lawfully be excluded; or (d) any other liability that cannot lawfully be excluded or limited.

8.2 Subject to clause 8.1, and to the fullest extent permitted by law, LoLaFF, and its organisers, directors, staff, volunteers, contractors, Festival Partners, sponsors, funders and venues (each a “Protected Party”) accept no liability for loss, damage, injury, illness, theft or other claim arising from or connected with your attendance at, participation in, or travel to or from, a Festival event, except to the extent that the loss, damage, injury, illness or theft is caused by that Protected Party’s negligence, breach of contract or breach of statutory duty.

8.3 You attend and participate in Festival events at your own risk, and are responsible for taking reasonable care of your own safety, health and belongings, having regard to any instructions given by Festival staff or the relevant venue.

8.4 We are not responsible for the loss, theft or damage of personal property brought to a Festival event, except to the extent caused by our negligence, that of our staff, or where liability cannot lawfully be excluded. See also clause 9 (Personal Property).

8.5 A parent or legal guardian remains responsible for a minor attending a Festival activity, in addition to any specific supervision arrangements communicated by us or the relevant venue. See clause 12 (Children and Young People).

8.6 Where you attend or participate as a consumer, this clause 8 operates subject to, and does not exclude or limit, your rights under the Consumer Rights Act 2015 or other applicable consumer protection law. This clause is intended to operate only to the maximum extent permitted by applicable law.

9. Personal Property

You are responsible for your own personal belongings. We strongly recommend that valuable possessions are not left unattended.

Where a cloakroom or storage facility is provided, it may be operated by a third party and may have separate conditions or limitations, which will be communicated where reasonably possible.

LoLaFF does not accept responsibility for personal property, except to the extent set out in clause 8.4.

10. Health, Safety and Security

For the safety of attendees, staff, filmmakers, volunteers and venue personnel, you must comply with reasonable health, safety and security instructions. The Festival may implement reasonable measures relating to:

  • venue capacity;
  • crowd management;
  • emergency procedures;
  • bag checks;
  • prohibited items;
  • evacuation procedures;
  • accessibility and safeguarding;
  • age restrictions; and
  • public health requirements.

Failure to comply may result in refusal of admission or removal from an event under clause 4.6.

11. Behaviour, Respect and Safeguarding

LoLaFF is committed to providing a welcoming, inclusive and respectful environment. We do not tolerate:

  • harassment;
  • bullying;
  • intimidation;
  • threats;
  • violence;
  • hate speech;
  • discriminatory behaviour;
  • sexual harassment;
  • unwanted sexual behaviour;
  • stalking;
  • abusive conduct; or
  • behaviour that creates an unsafe environment.

This applies at Festival venues, on online platforms, in communications, and at workshops, receptions, parties, screenings and other Festival activities.

We reserve the right to take appropriate action, including removal from an event, cancellation of accreditation, or refusal of future participation, where reasonably necessary. Serious incidents may be referred to the relevant authorities.

12. Children and Young People

Some Festival events may have age restrictions, which will be communicated where applicable.

Where a child or young person attends an event, responsibility for that child or young person rests with their parent, guardian or accompanying responsible adult, in accordance with the relevant event and venue requirements and clause 2.4 (Capacity).

LoLaFF does not assume parental or guardianship responsibility for children attending Festival events.

13. Photography, Filming and Recording

Festival events may be photographed, filmed, livestreamed or otherwise recorded for Festival documentation, archival purposes, promotional materials, social media, press and publicity, educational purposes, and future Festival marketing.

By attending a Festival event, you acknowledge that you may appear incidentally in general audience footage or photography. Where we intend to make specific or prominent use of an identifiable individual, we will seek consent where required by applicable data protection law.

If you have concerns about appearing in Festival photography or recording, please speak to a Festival representative as soon as reasonably possible.

Nothing in this clause overrides any right you may have under the Privacy Policy, applicable data protection law, or other applicable law.

14. Intellectual Property and Reporting Infringement

14.1 All intellectual property rights in the Website, our branding, logos, graphics, written content, promotional materials, photographs, videos, artwork and other original Festival Content belong to LoLaFF or its licensors, unless otherwise stated.

14.2 You may access and use Festival Content for personal, non-commercial purposes. You must not reproduce, distribute, commercially exploit, modify, republish or create derivative works from Festival Content without our prior written permission. The names and logos associated with LoLaFF may not be used without permission.

14.3 Reporting infringement. If you believe that Content on the Website or in the Festival programme (including a Submission or User Content) infringes your intellectual property rights, please notify us in Writing at [INSERT IP/LEGAL CONTACT EMAIL], including: identification of the work you believe is infringed; identification of the material you consider infringing and its location; your contact details; and a statement that you have a good faith belief that the use is not authorised. We will investigate reports made in good faith and, where appropriate, may remove or disable access to the material while the matter is resolved.

15. Film Submissions

15.1 Film submissions may be accepted through the Website, FilmFreeway or other third-party Submission platforms. Submission fees, deadlines, eligibility requirements, technical specifications and other Submission conditions may be specified separately for each Festival edition (“Submission Rules”).

15.2 Submitting a film does not guarantee: selection; screening; nomination; an award; publication; distribution; or any other form of Festival participation.

15.3 The Festival’s programming and selection decisions are final, subject to applicable law.

15.4 Where Submission Rules are published for a Festival edition, those rules form part of these Terms for the purposes of your Submission, and clause 1.2(e) governs any conflict between them and these Terms.

15.5 Submission fees, once paid, are non-refundable, including where a film is not selected, except where required by law or expressly stated otherwise in the applicable Submission Rules.

15.6 If a filmmaker withdraws a Selected Film after selection, we may, at our discretion, remove the film from the programme, and are not obliged to refund any Submission fee or other cost incurred.

16. Filmmaker Warranties and Rights

16.1 By submitting a film, you confirm that you have the necessary authority to submit it to LoLaFF.

16.2 You represent and warrant, to the best of your knowledge and authority, that:

  • you have obtained the necessary rights, permissions and licences to submit the film;
  • the submission does not knowingly infringe a third party’s intellectual property rights;
  • necessary music, image, performance, location and other permissions have been obtained where required;
  • the submission does not knowingly contain unlawful material;
  • you have authority to grant the rights requested by the Festival under clause 17 (Screening Rights); and
  • the information you provide in connection with the Submission is accurate.

16.3 You agree to notify LoLaFF promptly if any material information concerning rights, permissions or ownership changes. We may request evidence of relevant permissions or rights.

16.4 To the extent your Submission includes material in which moral rights subsist under the Copyright, Designs and Patents Act 1988, you waive, to the extent permitted by law, any such moral rights necessary for us to exercise the rights granted under clauses 17 and 18.

16.5 We rely on the warranties in this clause 16 in agreeing to exhibit a Selected Film. If a warranty in this clause is breached, or we reasonably believe it may have been breached, we may remove or withdraw the film from the Festival programme without liability to you, in addition to our rights under clause 30 (Indemnity).

17. Screening Rights

17.1 Unless otherwise specified in the applicable Submission Rules, a filmmaker selected for the Festival grants LoLaFF a non-exclusive, royalty-free right to exhibit the submitted film as part of the relevant Festival edition.

17.2 This may include, where agreed or separately authorised: public screening; Festival previews; jury screenings; press screenings; industry screenings; educational screenings; award screenings; and limited promotional excerpts.

17.3 Any online, streaming, broadcast, commercial distribution or other exploitation beyond Festival exhibition requires separate, appropriate rights or permission from the filmmaker.

18. Promotional Use of Selected Films

For Selected Films, LoLaFF may use reasonable promotional materials relating to the film, including: title; synopsis; filmmaker biography; still images; trailer or approved clips; poster artwork; cast and crew information; and filmmaker-provided promotional materials.

Such materials may be used on the Festival website, social media, programmes, press releases, newsletters, digital marketing, partner websites and other Festival promotional channels.

We will seek to credit filmmakers appropriately where reasonably practicable. Clause 16.4 (moral rights waiver) applies to this use.

19. Film Selection and Programming

LoLaFF reserves the right to curate and programme films according to the Festival’s artistic and operational criteria. Selection does not guarantee a particular screening date, venue, screening format or audience size.

We may make reasonable programme changes after selection where necessary for scheduling, technical, legal, venue, censorship/classification, rights or operational reasons.

20. Unsolicited Materials

LoLaFF does not generally accept unsolicited creative proposals, scripts, concepts, films or other creative materials outside established Submission procedures.

Material submitted outside an authorised Submission process may be treated as non-confidential and may not be returned. This provision does not affect personal data, confidential information protected by law, or any right that cannot lawfully be excluded.

21. User-Generated Content

Where the Festival permits comments, reviews, social posts, competition entries or other User Content, you remain responsible for the material you submit. You must not submit content that:

  • is unlawful;
  • infringes another person’s rights;
  • is defamatory;
  • is discriminatory or hateful;
  • contains malware;
  • contains confidential information without permission;
  • infringes copyright, trade marks or other intellectual property rights;
  • is a fake, incentivised or misleading review or endorsement, contrary to the Digital Markets, Competition and Consumers Act 2024; or
  • is otherwise inappropriate for the relevant Festival platform.

You retain ownership of your User Content, but by submitting it to a Festival platform you grant LoLaFF a non-exclusive, worldwide, royalty-free licence to use, reproduce, display and distribute it for Festival-related purposes, and, to the extent moral rights subsist in it, you waive them to the extent permitted by law and necessary for that use. This is subject to applicable law and our Privacy Policy.

22. Privacy and Data Protection

LoLaFF is the data controller for personal data collected in connection with the Festival, and processes personal data in accordance with the UK GDPR and the Data Protection Act 2018, and you can contact us about data protection matters at info@londonlatinofilmfestival.org.uk.

Our Privacy Policy explains: what personal information we collect; why we collect it; how we use it; how long we retain it; who we may share it with; your rights; and how you can contact us.

Our Privacy Policy forms part of these Terms.

23. Marketing Communications

Where permitted by the Privacy and Electronic Communications Regulations 2003 and the UK GDPR, we may send Festival news, programme information and marketing communications where you have provided appropriate consent or another lawful basis applies.

You may unsubscribe from marketing communications at any time using the relevant unsubscribe mechanism or by contacting us. Unsubscribing from marketing communications does not prevent us from sending essential transactional or event-related communications.

24. Accessibility

LoLaFF aims to make Festival activities accessible and inclusive, and to make reasonable adjustments in line with the Equality Act 2010 where we are able to do so. Accessibility arrangements vary between venues and events.

If you require reasonable adjustments, please contact us before attending, where possible, so that we can discuss available arrangements with you and/or the relevant venue.

We cannot guarantee that every venue or event will meet every individual accessibility requirement, but we will make reasonable efforts to provide information and assistance.

25. Third-Party Websites and Services

The Website may contain links to third-party websites and services, including ticketing platforms, FilmFreeway, cinemas and venues, accommodation providers, sponsors, payment providers, social media platforms and partner organisations.

Third-party websites are governed by their own terms and privacy policies. LoLaFF is not responsible for the availability, security, content, policies or practices of third-party websites or services. The inclusion of a link does not necessarily constitute an endorsement.

26. Payments and Third-Party Providers

Payments may be processed through third-party payment or ticketing providers, who are responsible for maintaining appropriate security standards (such as PCI DSS) for the payment card data they process. LoLaFF does not normally have access to complete payment card information processed by those providers.

You agree to provide accurate billing and contact information, and to comply with the applicable payment provider’s terms.

27. Sponsors, Partners and Affiliates

The Festival may work with sponsors, funders, partners, affiliates and other organisations. Their names, logos and services may appear on Festival materials.

Unless expressly stated otherwise, a sponsorship or partnership does not mean that LoLaFF guarantees or accepts responsibility for the products or services provided by that organisation.

28. Force Majeure and Events Outside Our Control

LoLaFF will not be responsible for a failure or delay in performing its obligations where this results from circumstances beyond our reasonable control (“Force Majeure Event”). Such circumstances may include, for example: fire; flood; extreme weather; epidemic or pandemic; public health emergency; terrorism; civil unrest; war; industrial disputes; government restrictions; transport disruption; venue closure; power or telecommunications failure; cyber incidents; serious illness; death or unavailability of key participants; technical failure; or other circumstances beyond our reasonable control.

While a Force Majeure Event continues, our obligations under these Terms are suspended to the extent affected by it, and we will resume performance as soon as reasonably practicable once it ends. Where reasonably possible, we will communicate significant disruption and seek an appropriate alternative arrangement.

Nothing in this clause removes any consumer right that cannot lawfully be excluded, including your rights under clause 5.6.

29. Limitation of Liability

29.1 To the fullest extent permitted by law, LoLaFF is not liable for indirect, incidental, special or consequential loss arising from your use of the Website or participation in Festival activities. This may include, where legally permissible: loss of opportunity; loss of anticipated enjoyment; loss of profits; loss of business; loss of goodwill; travel expenses; accommodation expenses; or other consequential costs.

29.2 Subject to clause 8.1, and without limiting it, our total liability to you arising out of or in connection with a Ticket purchase or other paid Festival service, whether in contract, tort (including negligence), for breach of statutory duty or otherwise, will not exceed the total amount you paid to us for the Ticket or service giving rise to the claim.

29.3 Clause 29.2 does not apply to a claim arising from a film Submission, which is instead addressed by clauses 16 and 30, or to any liability that cannot lawfully be excluded or limited under clause 8.1.

29.4 Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, and nothing in these Terms affects your statutory consumer rights.

30. Indemnity

To the extent permitted by law, you agree to indemnify LoLaFF against reasonable losses, claims, liabilities, damages and costs arising directly from: your material breach of these Terms; your unlawful conduct; your infringement of another person’s intellectual property or other rights; or a false or materially misleading representation made by you in connection with a film Submission or Festival participation.

This clause does not require you to indemnify LoLaFF for losses caused by LoLaFF’s own negligence, breach of contract or unlawful conduct. Where we intend to rely on this clause, we will notify you promptly of the relevant claim, give you a reasonable opportunity, at your own cost, to participate in its defence, and will not settle it in a way that requires an admission or payment by you without your consent, not to be unreasonably withheld.

31. Complaints and Alternative Dispute Resolution

We aim to resolve complaints fairly and promptly. If you have a complaint concerning the Festival, please contact us using the details in clause 41 (Contact), providing: your name; the relevant booking or Submission reference; details of the issue; and any supporting information. We will consider the matter and respond within a reasonable period.

We do not currently participate in a certified Alternative Dispute Resolution (ADR) scheme for the purposes of the Alternative Dispute Resolution for Consumer Disputes Regulations 2015. If we are unable to resolve your complaint to your satisfaction, you may wish to contact Citizens Advice or your local Trading Standards service for further guidance.

Nothing in these Terms prevents you from exercising any statutory right, or pursuing any remedy available to you under applicable law, including bringing a claim before a court.

32. Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, agency or employment relationship between you and LoLaFF. Except as expressly stated in these Terms, neither party has authority to act on behalf of, or bind, the other.

33. Assignment

We may transfer, assign, novate or subcontract our rights and obligations under these Terms, including in connection with a reorganisation, merger, or sale or transfer of the Festival, provided this does not materially reduce your rights under these Terms.

You may not assign, transfer or subcontract your rights or obligations under these Terms, or transfer a Ticket for commercial gain, without our prior written consent, except as expressly permitted by clause 4.5 (Ticket resale and transfer).

34. Notices

A notice you send us under these Terms should be sent using the contact details in clause 41 and will be treated as received when actually received by us.

A notice we send you will be sent to the email or postal address you provided when you purchased a Ticket, made a Submission, or registered with us, and will be treated as received 24 hours after we send an email, or 2 Working Days after we send a letter by first-class post within the UK. This clause does not apply to the service of legal proceedings, which must be carried out in accordance with the applicable court rules.

35. Third Party Rights

Except as set out in this clause, a person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms.

Each Protected Party referred to in clause 8 (Liability Disclaimer), and any venue, Festival Partner, sponsor or funder referred to in clauses 7, 25 or 27, may rely on and enforce any term of these Terms that is expressed to be, or is reasonably intended to be, for its benefit, subject to and in accordance with the Contracts (Rights of Third Parties) Act 1999. LoLaFF and you may vary, rescind or terminate these Terms without the consent of any such third party.

36. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Festival, changes in our services, legal or regulatory changes, operational requirements, or improvements to clarity or security.

The latest version will be published on the Website with the date of the most recent update. Where a change materially affects an existing transaction or booking, we will not rely on the change to retrospectively remove rights you have already acquired, except where permitted by law.

37. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be modified or removed only to the extent necessary. The remaining provisions will continue to apply.

38. No Waiver

If LoLaFF does not immediately enforce a provision of these Terms, this does not mean LoLaFF has waived its right to enforce that provision later.

39. Entire Agreement

These Terms, together with any applicable Additional Terms, Submission Rules and the Privacy Policy, constitute the entire agreement between you and LoLaFF concerning the relevant service or activity.

Except as set out in these Terms, no statement, representation or promise made by or on behalf of LoLaFF, whether before or after these Terms take effect, forms part of these Terms unless recorded in Writing and expressly agreed by LoLaFF. Nothing in this clause excludes or limits liability for fraud or fraudulent misrepresentation.

40. Governing Law and Jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), are governed by the laws of England and Wales.

Subject to clause 5.6 and any other mandatory consumer protection rights, you and LoLaFF agree that the courts of England and Wales have jurisdiction over any dispute or claim arising out of or in connection with these Terms, save that if you are a consumer resident in Scotland or Northern Ireland, you may also bring proceedings in the courts of your own place of residence.

Nothing in this clause prevents you from exercising any mandatory right or remedy available to you in your place of residence under applicable law.
